1. Definitions
In these Terms, the following words have the following meanings:
- "Service" means the TagoAgent platform that lets you create, configure, and operate an AI agent that automatically replies to your customers across supported channels.
- "AI Agent" or "Agent" means the artificial-intelligence assistant that you configure through the Service to answer questions, capture orders, and handle support on your behalf.
- "Customer" or "you" means the business or individual that registers for and uses the Service.
- "End-Customer" means a person who interacts with your AI Agent, such as one of your own customers messaging you on WhatsApp, Telegram, or the website chat widget.
- "Customer Content" means the information, documents, product and pricing data, instructions, and other material you provide to configure or train your AI Agent.
- "Conversation Data" means the messages and related data that End-Customers send to, and receive from, your AI Agent through the Service.
- "Subscription" means a paid plan that grants you access to the Service for a recurring billing period.
- "Allowance" means the monthly message or usage limit included with your plan.
2. Eligibility and Accounts
To use the Service you must be at least 18 years old (or the age of legal majority in your jurisdiction) and capable of forming a binding contract. The Service is intended for business use.
You must register for an account to use the Service. You agree to provide accurate, current, and complete information and to keep it up to date. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You must notify us promptly at support@tagoagent.com if you suspect any unauthorized use of your account.
You are responsible for all users you allow to access the Service through your account, and for their compliance with these Terms.
3. Description of the Service
TagoAgent provides software that enables you to deploy an AI Agent that communicates with your End-Customers on your behalf, 24/7, in Arabic and English. Depending on how you configure it, the AI Agent can answer product and pricing questions, capture orders, provide customer support, and respond to general inquiries.
The AI Agent operates across the channels we support, which currently include WhatsApp, Telegram, and a website chat widget. The Service relies on third-party messaging platforms and an AI/large-language-model provider to function. We may add, change, or remove features, channels, or integrations over time. We will use reasonable efforts to give notice of material changes that adversely affect your use of the Service.
4. Subscriptions, Plans, Trial, and Billing
The Service is offered through subscription plans (currently Starter, Pro, and Enterprise). Each plan is billed monthly and includes a monthly message or usage Allowance, as described on the Site at the time of purchase.
Free trial: We offer a 7-day free trial for new accounts. At the end of the trial, unless you subscribe to a paid plan, your access to the paid features may end and your AI Agent may pause. We may limit eligibility for the free trial and may modify or discontinue it at any time.
Auto-renewal and cancellation: Paid subscriptions automatically renew at the end of each monthly billing period at the then-current price, unless you cancel before the renewal date. You can cancel at any time from your account or by contacting us; cancellation takes effect at the end of your current paid period, and you will retain access until then. We do not provide pro-rated refunds for partial periods except as stated in our Refund Policy or as required by law. Refunds are governed by our Refund & Cancellation Policy, which includes a money-back guarantee on your first paid month.
Payment processors and Merchant of Record: International and worldwide card purchases are processed by Paddle.com ("Paddle"), which acts as the Merchant of Record and authorized reseller for those orders. This means Paddle is the seller of record and handles billing, invoicing, applicable taxes, and refunds on our behalf for those transactions, and your purchase is also subject to Paddle's buyer terms. For customers in Egypt, payments are processed by Paymob, which supports methods such as Fawry, mobile wallets, InstaPay, and cards. TagoAgent does not store your full card numbers; card data is handled by these payment processors.
Allowance and pausing: Each plan includes a monthly Allowance of messages or usage. If you reach your Allowance, or if your paid period expires without renewal, your AI Agent may pause and stop replying to End-Customers until the next billing period begins, you renew or upgrade your plan, or you purchase additional capacity where available. You are responsible for monitoring your usage.
Taxes and price changes: Prices are exclusive of taxes unless stated otherwise; you are responsible for any applicable taxes, except those based on our net income. Where Paddle acts as Merchant of Record, Paddle may collect and remit applicable taxes. We may change our prices and plan features; changes take effect at your next renewal, and we will provide reasonable advance notice of material price increases.
5. Acceptable Use
You agree not to use the Service, and not to allow your AI Agent or any user to use the Service, to do any of the following:
- Violate any applicable law or regulation, or infringe the rights of any person.
- Send spam, unsolicited messages, or communications that violate WhatsApp, Telegram, Meta, or other platform policies.
- Generate, distribute, or facilitate illegal, fraudulent, deceptive, defamatory, obscene, harassing, hateful, or otherwise harmful content.
- Process sensitive data (such as health, financial, biometric, or government-identifier data) in violation of applicable law or without an appropriate legal basis and safeguards.
- Attempt to gain unauthorized access to the Service, other accounts, or our systems, or interfere with or disrupt the integrity or performance of the Service.
- Reverse engineer, decompile, or attempt to extract the source code or underlying models of the Service, except to the extent permitted by law.
- Use the Service to build or train a competing product, or resell or sublicense the Service without our written permission.
- Use automated means to overload, scrape, or abuse the Service, or to circumvent usage Allowances or rate limits.
We may investigate suspected violations and may suspend or terminate access for conduct that we reasonably believe violates these Terms or harms the Service, other users, or any third party.
6. Customer Responsibilities
The AI Agent acts on your behalf and under your control. You are solely responsible for how it is configured and for what it says and does in your interactions with End-Customers. In particular, you are responsible for the following:
- The Customer Content and data you use to configure or train your AI Agent, including ensuring it is accurate, lawful, and that you have the rights to use it.
- Everything your AI Agent communicates to, and any actions it takes for, your End-Customers, including answers, prices, offers, commitments, and orders it captures.
- Obtaining all required notices and consents from your End-Customers for the collection and processing of their messages and data through the Service, and providing them with your own privacy disclosures.
- Complying with the rules and terms of the messaging platforms you connect (including WhatsApp, Meta, and Telegram), including their business and messaging policies.
- Complying with all laws that apply to your business and communications, including consumer-protection, advertising, e-commerce, and data-protection laws in Egypt, Saudi Arabia, and any other markets you serve.
- Reviewing and supervising your AI Agent's behavior and correcting or disabling it if it produces inappropriate, inaccurate, or non-compliant output.
You acknowledge that we do not pre-screen or control the specific messages your AI Agent sends, and that you, not TagoAgent, are responsible for them.
7. AI Disclaimer
The AI Agent generates responses automatically using artificial-intelligence models. Generated output can be inaccurate, incomplete, outdated, or otherwise unsuitable, and may occasionally produce statements that are wrong or unexpected (sometimes called "hallucinations").
AI Agent output does not constitute professional advice and must not be relied upon as legal, medical, financial, tax, or other professional advice. You are responsible for reviewing and supervising the AI Agent's output and for any decisions or commitments made based on it. You should put appropriate human oversight in place for important or sensitive interactions.
We do not warrant that the AI Agent's responses will be accurate, appropriate for any particular purpose, or free of errors, and we are not liable for actions taken by your AI Agent that you configured or permitted.
8. Intellectual Property and Licence
The Service, the Site, and all related software, technology, designs, text, and trademarks are owned by TagoAgent or its licensors and are protected by intellectual-property laws. Except for the rights expressly granted in these Terms, we reserve all rights, title, and interest in and to the Service.
Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes during your subscription.
You retain all rights in your Customer Content. You grant us a worldwide, non-exclusive licence to host, process, transmit, display, and otherwise use your Customer Content and Conversation Data as necessary to provide, maintain, secure, and improve the Service, to operate your AI Agent, and as otherwise described in our Privacy Policy. You may provide feedback or suggestions about the Service, and we may use them without restriction or obligation to you.
9. Data the Agent Handles
To provide the Service, we process several categories of data: account data (such as your name, email, and business information); the Customer Content you use to train and configure your AI Agent; and the Conversation Data that End-Customers exchange with your AI Agent.
We use sub-processors and third parties to operate the Service, which currently include Paddle (billing and Merchant of Record), Paymob (Egypt billing), Supabase (database and authentication), Vercel (hosting), an LLM/AI provider (to generate the AI Agent's replies), and the messaging platforms you connect (WhatsApp/Meta and Telegram). As between you and us, you are the controller of the personal data you and your End-Customers provide through the Service, and we process it on your behalf to provide the Service. You are responsible for having a lawful basis for that processing.
10. Confidentiality
Each party may have access to non-public information of the other party that is marked as confidential or that should reasonably be understood to be confidential ("Confidential Information"). The receiving party will use Confidential Information only to perform under these Terms, will protect it with reasonable care, and will not disclose it to third parties except to its personnel and service providers who need to know it and are bound by similar obligations.
Confidential Information does not include information that is or becomes public through no fault of the receiving party, was already known to it without obligation of confidence, is independently developed, or is rightfully obtained from a third party. The receiving party may disclose Confidential Information if required by law, provided it gives reasonable notice where permitted.
11. Warranty Disclaimer
The Service is provided on an "as is" and "as available" basis, without warranties of any kind. To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, that the AI Agent's output will be accurate or reliable, or that the Service will meet your requirements. The Service depends on third-party platforms and networks that are outside our control, and we are not responsible for their availability or actions.
12. Limitation of Liability
To the maximum extent permitted by law, TagoAgent and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, or business, arising out of or relating to the Service or these Terms, even if advised of the possibility of such damages.
To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Service or these Terms will not exceed the total amount you paid to us (or, for transactions where Paddle is the Merchant of Record, to Paddle on our behalf) for the Service in the twelve (12) months immediately before the event giving rise to the liability.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
13. Indemnity
You agree to defend, indemnify, and hold harmless TagoAgent and its officers, employees, and suppliers from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:
- Your use of the Service, including your AI Agent's communications and actions toward your End-Customers.
- Your Customer Content and Conversation Data, including any claim that it infringes or violates the rights of a third party.
- Your breach of these Terms, the Acceptable Use section, or applicable law.
- Your failure to obtain required consents from, or provide required disclosures to, your End-Customers, or your violation of any messaging-platform rules.
14. Suspension and Termination
You may stop using the Service and cancel your subscription at any time as described above. We may suspend or terminate your access to the Service, in whole or in part, if you breach these Terms, fail to pay fees when due, use the Service in a way that poses a security, legal, or reputational risk, or as required to comply with law or third-party platform requirements. Where practicable and lawful, we will give you notice and an opportunity to cure.
On termination, your right to use the Service ends and your AI Agent will stop operating. We may delete or de-identify your Customer Content and Conversation Data after a reasonable period in accordance with our Privacy Policy and applicable law. You remain responsible for any fees accrued before termination. Sections that by their nature should survive termination (including intellectual property, confidentiality, disclaimers, limitation of liability, indemnity, and governing law) will survive.
15. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will update the "last updated" date and provide reasonable notice, for example by posting on the Site or notifying you by email. Changes take effect when posted unless stated otherwise. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service.
16. Governing Law and Dispute Resolution
These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the Arab Republic of Egypt, without regard to its conflict-of-laws rules. You and TagoAgent agree to submit to the exclusive jurisdiction of the courts located in the Arab Republic of Egypt to resolve any dispute, subject to any mandatory consumer-protection rights you may have under the law of your country of residence.
Before bringing a formal claim, the parties will attempt in good faith to resolve any dispute informally by contacting each other. Nothing in this section prevents either party from seeking injunctive or equitable relief to protect its intellectual property or Confidential Information.
17. General
These Terms, together with the Privacy Policy and Refund Policy, are the entire agreement between you and us regarding the Service and supersede any prior agreements. If any provision is held unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. There are no third-party beneficiaries to these Terms.
